Email Voting Notice for Branch Officers and Bylaws Amendments
April 7, 2020
We remain deeply concerned about the spread and impact of COVID-19 and will continue to take steps to ensure the safety of our members and community as we plan our branch activities. As previously announced, our Scholarship Awards Program which includes our Annual Branch Meeting has been postponed. However, we still have important branch business to conduct as we prepare for a successful launch of our 2020/2021 membership year that begins July 1st. With your support and cooperation, our Board has decided to proceed with a member vote of new officers and bylaws amendments that will be conducted by email as outlined in this notice.
HERE IS THE SCHEDULE OF 2020 VOTING BY EMAIL
- May 9, 2020: You will receive an email from our branch email address AAUWCSCOVoting@gmail.com which will be your “ballot” to reply by return email with your vote.
- May 16, 2020: Email voting closes at 11:45 PM.
- May 23, 2020: Results will be reported via eblast and in the June 2020 branch newsletter.
VOTING BY EMAIL WILL BE MADE AVAILABLE TO ALL AAUW COS BRANCH MEMBERS IN GOOD STANDING AS OF MAY 8, 2020.
The email address that we have on file for you will be the address used to send your email “ballot” to vote. New members on file who have joined by May 8, 2020 will be eligible to vote in this election. Your vote by email has the same effect as action taken at a branch annual meeting. (Note: Only those members on file who do not have an email address will receive a hard-copy notification to vote.)

CANDIDATES: The Nominating Committee has a complete slate of officers and Nominating Committee members for 2020-2022. They are as follows:
- President Elect: Felicity (Pip) Bodkin
- Treasurer: Joan Skoog
- Co-VPs of Community Outreach: Barbara Potter and Cindi Zenkert-Strange
- Co-VPs of Programs: Marian Phelps and Sarah Stowell
- Nominating Committee: Nancy Holt, Jan Zellmer, Margaret Dolinich
BYLAWS AMENDMENTS: In addition to these candidates, our Branch Board has approved amendments to Branch Bylaws to advance for a member vote. Below you will find a summary of the proposed amendments, including rationale, and a “red-lined” version of the document that tracks the proposed changes in full context. Most of these amendments, as explained in the summary below, are compliance requirements for 501(c)(3) nonprofit charitable organizations.
Our Board also recently took action to update Branch Working Rules and Policies (below) in compliance with our new 501(c)(3) status.

REQUIRED LEGAL NOTICE
Voting starts May 9, 2020 when you receive your email ballot. It is very important that you cast your email vote by the deadline of May 16, 2020, 11:45 PM because we need a quorum of ten (10) percent of our branch membership for the election. This means we must, at minimum, have a quorum of twenty-six (26) member votes. If we don’t have a quorum, the proposed new officers cannot take office on July 1, 2020 and full implementation of our new 501(c)(3) non-profit status is delayed. (In accordance with our bylaws, approval is by a majority vote of those voting.)
